Welcome to Piver! These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Piver LLC (“Piver,” “we,” “us,” or “our”), governing your access to and use of our online marketplace platform located at mypiver.com (the “Platform”). By accessing, registering, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

We may change this Privacy Notice from time to time. In the event we make changes, we will notify you by revising the “Last Updated” date at the top of this Privacy Notice. If there are significant changes to this Privacy Notice, we will attempt to notify you directly by email or within the Platform prior to changes becoming effective. "Platform": The digital marketplace that facilitates connections between Consignors, Consignees, Freight Forwarders, and other logistics service providers for shipping and customs services.
"User": Any individual or legal entity accessing or using the Platform, including but not limited to Consignors, Consignees, Freight Forwarders, and Piver Admins.
"Services": The functionality provided by the Platform to enable Users to post requests, submit quotes, negotiate contracts, and process payments.
"Consignor": A User shipping goods to a Consignee.
"Consignee": A User receiving goods shipped by a Consignor.
"Freight Forwarder": A User specializing in the transportation of goods internationally.
"Quotation": A binding or non-binding estimate provided by Freight Forwarders or Customs Brokers for services requested by Consignors or Consignees.
"Fees": Transaction or service fees charged by Piver to facilitate connections and transactions on the Platform

2. Scope of Services

Piver is a neutral online marketplace connecting shipping and logistics parties, including but not limited to Consignors, Consignees, Freight Forwarders, and Customs Brokers.

2.1 What Piver Does

Piver provides a platform where Users can:

  • Request or submit shipment and logistics quotations.
  • Negotiate service terms and conditions.
  • Process payments securely for completed services.
  • Communicate with other Users regarding their transactions.

2.2 Limitations of Piver’s Role

Piver is not a shipping provider, logistics company, freight forwarder, or customs broker. We do not directly participate in the provision of shipping or logistics services. We are not responsible for the actual execution, quality, or timeliness of services provided by Users.

3. User Eligibility and Responsibilities

3.1 User Eligibility

You must be at least 18 years old or have legal authority to enter into contracts on behalf of a company. By registering, you confirm that all information provided is accurate and current.

3.2 User Obligations

All Users agree to:

  1. Provide accurate and up-to-date information when creating an account or using the Platform.
  2. Comply with all applicable local, national, and international laws, including import/export regulations.
  3. Refrain from using the Platform for illegal, unethical, or fraudulent activities.
  4. Treat other Users respectfully and conduct transactions in good faith.

4. Fees and Payments

4.1 Piver’s Fees

Piver collects service fees for facilitating transactions on the Platform. These fees are transparently displayed to Users before the completion of a transaction.

4.2 Payment Processing

All payments are processed through a secure third-party payment gateway integrated with the Platform. By using the Platform, you authorize Piver to act as an intermediary for payment collection and disbursement.

4.3 User Obligations Regarding Payment

Consignors and Consignees are responsible for making timely payments for accepted quotations. Freight Forwarders and Customs Brokers agree to fulfill their obligations as outlined in their accepted quotations.

4.4 Refunds and Chargebacks

Refunds and chargebacks are subject to mutual agreement between the Users involved and are facilitated through Piver’s mediation process.

5. Data Privacy and Security

5.1 GDPR Compliance

Piver adheres to the General Data Protection Regulation (GDPR) and other relevant data privacy laws. By using the Platform, you agree to the collection, processing, and storage of your personal and business data as outlined in our [Privacy Policy].

5.2 Data Ownership

Users retain ownership of any sensitive business data provided on the Platform. Piver will not sell, lease, or distribute your data to third parties without consent, except as required by law.

5.3 Data Security

Piver employs robust encryption and security protocols to protect User data. However, we cannot guarantee complete security against unauthorized access. 6. Intellectual Property All content on the Platform, including but not limited to text, images, logos, and software, is the intellectual property of Piver LLC. Users are granted a limited, non-exclusive license to use the Platform for its intended purpose. Unauthorized reproduction, modification, or distribution of Platform content is strictly prohibited. 7. Zero Liability Disclaimer Piver is not responsible for:

  1. The quality, accuracy, or timeliness of services provided by Users.
  2. Losses, damages, or delays resulting from shipping or logistics services arranged through the Platform.
  3. Any disputes arising between Users. You agree to indemnify and hold Piver harmless from any claims, losses, or damages resulting from your use of the Platform.

8. Dispute Resolution and Mediation

8.1 Mediation Services

Piver provides mediation services to help resolve disputes between Users. Mediation is limited to reviewing Platform activity and facilitating communication.

8.2 Final Responsibility

Users are solely responsible for reaching resolutions. Piver’s mediation is non-binding and does not constitute a legal judgment. ## 9. User Conduct and Prohibited Activities

9.1 User Conduct

Users must use the Platform in compliance with applicable laws and regulations.

9.2 Prohibited Activities

Users may not:

  • Post false or misleading information.
  • Use the Platform to commit fraud or unlawful activities.
  • Attempt to hack, disrupt, or interfere with the Platform’s operations.
  • Violation of these terms may result in account suspension or termination.

10. Limitation of Liability

To the fullest extent permitted by law, Piver: Excludes all warranties, express or implied, regarding the Platform’s functionality and reliability. Limits its liability to the service fees collected for any claims arising from your use of the Platform.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the United States. For international transactions involving Ghana, Users must comply with applicable import/export laws in both countries.

12. Amendments to Terms

Piver reserves the right to update or modify these Terms at any time. Users will be notified of significant changes via email or Platform notifications.
